Registered equity, in your name.
What you buy on BlockMaze is a legal claim recorded on a register, held by a regulated custodian, with rights set out in writing. Here is what that means, and how it differs from the things that look like it.
The instrument
In a table.
Registered equity, units or notes in the issuer or its holding company, tokenised on BlockMaze.
On the register of members, kept by the control agent on chain.
Set out in each offering’s documents: voting, dividends, information.
With BlockMaze’s regulated custodian, segregated from the issuer and from BlockMaze.
The register entry. It is how the asset is recorded and moved; it is not a separate thing you own.
On Dealing, after the raise closes and the equity lists.
What it is not
The look-alikes, and the difference that matters when something goes wrong.
Perks and access. Usually no claim on the company, no register, no custodian.
A promise of shares later, if a priced round happens. Common on crowdfunding sites.
Shares held by the platform on your behalf. Your name is on their list, not the company’s register.
A product or a thank-you. No ownership.
Recorded on a chain, with no law behind the claim. The Accountability Gap.
Dividends, votes and information
If the documents give them, the register delivers them.
Dividends, when the issuer pays them, are paid to the register, on chain, into your account. Votes, where the documents give voting rights, are run on the register. Information rights mean the issuer’s reporting reaches you on the offering page and by email, and your questions to the issuer are answered in public.
FAQ
What people ask about ownership.
Yes, in your account; the register is kept on chain by the control agent.
Equity ranks last. You can lose what you invested. This is said on every offering page.
Your holding is on the register and with the custodian, not on BlockMaze’s balance sheet.
Through Dealing after listing; private transfers are subject to the documents and the rules that apply.
